CLIENT AGREEMENT Thank you for joining Techruitment.com. This Agreement provides the various terms and conditions that apply to your Techruitment.com membership. By completing the form and clicking on the I AGREE button below, you will be agreeing to the terms and conditions of this Agreement. This Agreement is a binding contract between you, the client, and Techruitment.com. You agree to be bound by each of the terms and conditions of the Terms of Use for this web site. Independent Contractor Techruitment.com provides you with tools and services allowing you to purchase IT related services in a bidding environment. You agree that your relationship with Techruitment.com is that as an independent contractor. Likewise, your relationship with any third parties that accept your bid through Techruitment.com is of an independent contractor relationship. No partnership or employment is created through your involvement with Techruitment.com. Client Provider Guidelines You agree to obey any Client Provider Guidelines that are posted on Techruitment.com. You also agree to: - Refrain from contacting any service provider you met via Techruitment.com outside of the Techruitment.com system at any time, now or in the future. You are not allowed to contact a service provider directly but must use the contact tools provided by Techruitment.com. Any failure to honor this requirement will result in your being removed from Techruitment.com and no refunds for any fees paid by you will be returned. - Pay for all labor and services provided to you by a service provider as agreed to when you accepted the bid for such services and in a timely manner. - Provide Techruitment.com with accurate and up to date information, such as your name, phone number, email address, and physical address. - Register and complete your client profile in a complete an accurate manner. - Pay the service provider through the Techruitment system - Resolve all disputes between you and a service provider with the Dispute Resolution Service provided by our ADR (Alternate Dispute Resolution) Partner, and to pay any fees charged by that partner. - You will not ask a service provider to violate any of the rules or guidelines that apply to Service Providers. Any violation of this Agreement may result in one or more of the following: - Your removal from Techruitment.com. - No return of any fees paid by you. - Possible legal action for breach of contract or other cause of action. Service Rules In addition to any Client Guidelines that Techruitment.com may post on our site, you also agree: - To request the service provider to perform only those services as stated on the service ticket. - All additional services must be ordered through Techruitment.com. You can not independently and free of Techruitment.com contract with the service provider. - You may request a waiver of this rule by calling Techruitment.com. Techruitment.com reserves the right to modify any of the free services, including withdrawal of any or all of the free services, at any time without any notice to you. Transaction Fees Transaction fees will be posted at Techruitment.com when they become available. You will also be sent an email updating you about transaction fees before Techruitment.com begins to impose them. Transaction fees may not apply to Clients. Contact Support@techruitment.com if you have any questions about transaction fees. Optional Services Optional services shall be posted when they become available. Additional fees will be imposed for such additional, optional services if you elect to receive them. Privacy Policy We respect your privacy. We will never sell, trade, or give away your personal information for any reason except to when required by law. We will also endeavor to make visiting and using our site to be as secure an event as possible. We may use cookies to make our site easier to use. Cookies are small programs that help your computer remember and use certain data. You may set your browser to reject cookies, but your enjoyment of the site may be lessened. Additional Responsibilities That You Have - At signup, a valid email address will be provided to Techruitment.com which may be subject to verification. If Techruitment.com cannot verify your email, your account will be deleted. - Do NOT infringe the copyright or any intellectual property right of any third party or entity, or Techruitment.com. - Do not upload and publish material which are of pornographic, obscene, hate-oriented or illegal nature, or promote or encourage illegal actions. Determination of suitability will remain the right of the site administrator. - The Techruitment.com website will set cookies in the browser to save and retrieve information relevant to using the site or the administration area. - Do not use any information from the administration area made available by Techruitment.com, to hack, crack or attack other sites or visitors, or use the information to commit any illegal action. You will allow us to: Display, copy, and reproduce via the Internet your Client information that we indicate is public, rather than private, information. All you to offer your bid and related information at your request. Use your name(s), approved graphics and approved biographical materials to your benefit on your Techruitment.com listing. Disclaimer TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHRUITMENT.COM DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO (1) UNINTERRUPTED OR CONTINUOUS AVAILABILITY OF THE OUR SITE, AND (2) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT WITH RESPECT TO THE THIS SITE AND ANY SERVICES PROVIDED BY TECHRUITMENT.COM HEREUNDER. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. No Liability For Consequential Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TECHRUITMENT.COM BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE IUMA SITE, EVEN IF TECHRUITMENT.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Arbitration/Jurisdiction This Agreement will be governed by and construed in accordance with the internal laws of the State of Texas excluding that body of laws known as choice of law or conflict of laws. Subject to the provisions of this Section, all disputes, controversies or claims arising out of or relating to this Agreement will be resolved through mandatory binding arbitration conducted in Houston, Texas, before J.A.M.S./ENDISPUTE or its successor ("JAMS") pursuant to the United States Arbitration Act, 9 U.S.C. Section 1, et seq. (the "Act"); and (iii) this Agreement. The arbitration will be conducted in accordance with the provisions of J.A.M.S.'s Streamlined Arbitration Rules and Procedures in effect at the time of filing of the demand for arbitration (the "JAMS Rules"), subject to the provisions of this Section. The terms set forth in this Agreement will control in the event of any inconsistency between such terms and the JAMS Rules. The parties will cooperate with JAMS and with each other in promptly selecting a single arbitrator from JAMS's panel of neutrals. If the parties fail to so select an arbitrator within thirty (30) days following the date of either party's notice of demand to conduct arbitration, then JAMS will appoint an arbitrator in accordance with the JAMS Rules. The award of the arbitrator will be in writing and will set forth findings of fact and conclusions of law. Judgment on the arbitrator's award will be final and binding upon the parties and may be entered in any court having jurisdiction thereof. If for any reason JAMS or its successor no longer is in business, then the arbitration shall be conducted in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitrator's fees will be shared equally by the parties and each party will bear its own costs and attorneys' fees. All papers, documents, or evidence, whether written or oral, filed with or presented in connection with the arbitration proceeding will be deemed by the parties and by the arbitrator to be confidential information of both parties. The arbitrator chosen in accordance with these provisions will not have the power to alter, amend or otherwise affect the terms of these arbitration provisions or the provisions of this Agreement. Notwithstanding the foregoing, nothing in this Section shall prevent either party from applying for and obtaining from a court a temporary restraining order and/or other injunctive relief. You represent that you have carefully read this agreement, that you understand its contents, and that you have had an opportunity to seek independent legal advice with respect to the review and advisability of entering into this Agreement.
